These terms set out the basis on which Sappaya Counsel provides its services. We have written them plainly so they are straightforward to read.

Throughout these Terms and Conditions, the following words carry the meanings given below:

- These Terms and Conditions together with any engagement letter or service agreement signed between the parties.
- "Client" / "You"
- The individual or entity engaging Sappaya Counsel for legal services.
- "We" / "Us" / "Our"
- Sappaya Counsel, a legal practice registered in Thailand, with principal offices at 47 Soi Ari, Phaya Thai, Bangkok 10400.
- "Services"
- Legal advice, consultation, document preparation, and related assistance in connection with inheritance and estate matters, as described on our website and confirmed in writing.
- "Content"
- All text, documents, analyses, and materials produced by us in the course of providing the Services.
- "Website"
- The site operated at sappayac.pro and all pages contained within it.
2. Acceptance of Terms
By contacting us, instructing us to act, or using our Website, you confirm that:
- You are at least 18 years of age or the legally recognised age of majority in your jurisdiction.
- You have the legal capacity to enter into a binding agreement.
- Where you act on behalf of another person or entity, you have their authority to do so.
- You have read and understood these Terms and agree to be bound by them.
If you do not agree, please refrain from using the Website or engaging our Services.
3. Service Description
Sappaya Counsel provides specialist legal assistance focused on inheritance and estate matters under Thai law. Our current service offerings are:
Inheritance Planning Consultation
A private conversation to clarify your wishes or those of a loved one's estate. We explain the relevant points in plain language and present available options, with no obligation to proceed further.
Estate Administration Help
Practical support with document preparation, record organisation, and liaison with relevant authorities during the administration of an estate.
Comprehensive Inheritance Service
Full support for more involved matters, including formal steps, documentation, and representation through to resolution, with compassionate guidance throughout. Scope and fees are agreed in writing before engagement commences.
Services are provided to clients in Thailand and to those whose inheritance matters involve Thai law. Availability is subject to the nature and complexity of each matter.
4. Client Responsibilities
To allow us to act effectively on your behalf, you agree to:
- Provide accurate, complete, and timely information relating to your matter.
- Notify us promptly of any changes in circumstances that may affect your instructions or our advice.
- Use the Website and any documents or advice provided solely for lawful purposes.
- Settle fees in accordance with the payment terms confirmed at engagement.
- Not misrepresent any facts, conceal relevant information, or request advice that would assist in any unlawful activity.
5. Intellectual Property
All materials on the Website — including text, layout, design, and images — belong to Sappaya Counsel or its licensors. You may not reproduce, distribute, or commercially exploit any part of the Website without our prior written agreement.
Documents and written advice prepared specifically for your matter are provided for your personal or organisational use in connection with that matter only. They may not be shared with third parties or used for unrelated purposes without our written consent.
You retain ownership of all documents, records, and information you supply to us.
6. Fees & Payment
Fees are quoted in Thai Baht (฿). The following service fees apply as of the date of these Terms:

Fees for the Comprehensive Inheritance Service may vary depending on the complexity and scope of your matter. The agreed fee will be confirmed in writing before work begins. Payment is due in accordance with the terms set out in your engagement letter. We accept bank transfer and other methods confirmed at the time of engagement.
Fees paid for a consultation are not refundable if the session has taken place. For other services, any refund will reflect the proportion of work not yet carried out, at our reasonable assessment, unless otherwise agreed.
7. Confidentiality
We take the privacy of your affairs seriously. Information you share with us in connection with your matter is treated as confidential and will not be disclosed to third parties except:
- Where required by Thai law, court order, or regulatory obligation.
- To professional advisers or authorities where strictly necessary to carry out your instructions.
- With your express written consent.
This obligation of confidentiality continues after our engagement ends.
8. Disclaimers
The information on our Website is provided for general guidance only. It does not constitute formal legal advice and should not be relied upon as such without first consulting us directly about your specific circumstances.
Outcomes in legal matters depend on individual facts and the discretion of courts or authorities. We cannot determine in advance how any particular matter will resolve, and nothing in our communications should be read as a prediction of outcome.
Our Website is provided in good faith. We make reasonable efforts to keep information current but cannot warrant that it is always complete, accurate, or up to date.
9. Limitation of Liability
To the extent permitted by Thai law, our total liability to you arising from or in connection with the provision of Services shall not exceed the fees paid by you for the specific service giving rise to the claim.
We are not liable for any indirect, consequential, or incidental loss, including loss of profit, opportunity, or damage to reputation, arising from our Services or from use of the Website.
Nothing in these Terms limits liability for fraud, gross negligence, or any matter that cannot be excluded by law.
10. Indemnification
You agree to hold us harmless from any claim, cost, or liability arising from your breach of these Terms, from inaccurate or incomplete information you provided to us, or from your use of the Website in a manner inconsistent with these Terms.
11. Termination
Either party may end the engagement by giving reasonable written notice. We may also discontinue acting for you if a conflict of interest arises, if you provide misleading information, or if the relationship becomes untenable.
Upon termination, fees remain due for work carried out to the date of termination. We will return your documents and relevant papers in a timely manner.
Clauses relating to confidentiality, intellectual property, limitations of liability, and dispute resolution survive termination.
12. Disputes & Governing Law
These Terms are governed by the laws of the Kingdom of Thailand. Any dispute arising from or in connection with these Terms shall be subject to the jurisdiction of the competent courts in Bangkok.
Before any formal proceedings, we encourage both parties to attempt resolution through direct discussion. If you have a concern about our services, please contact us first at [email protected] so that we have the opportunity to address it.
Where appropriate, the parties may agree to mediation as an alternative to court proceedings.
13. General Provisions
Entire Agreement. These Terms, together with any signed engagement letter, constitute the complete agreement between us in relation to the Services and supersede any prior communications or understandings.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
Waiver. A failure by either party to enforce any provision does not constitute a waiver of that provision or any other right under these Terms.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may transfer obligations in connection with a restructuring of our practice, provided your rights are not diminished.
Notices. Formal notices should be sent in writing to the address or email set out in the contact section below.
14. Changes to These Terms
We may revise these Terms from time to time to reflect changes in our services, applicable law, or practice. When we do, we will update the "Last Updated" date at the top of this page.
Continuing to use our Website or Services after a revision has been posted constitutes acceptance of the updated Terms. We recommend reviewing this page periodically.
